Abreu Advogados Advised Rekeep World On The Acquisition Of A Majority Stake In Euromex
Abreu Advogados advised Rekeep World on the acquisition of a majority stake in Euromex
Abreu Advogados advised Rekeep World on the acquisition of a 60% majority stake in Euromex, a Portuguese company specialising in facility services, with a particular focus on the healthcare sector, which employs around 3,000 people.
The transaction allows Rekeep World, a leading Italian group in the integrated facility management sector, to enter the Portuguese market, with the former shareholder retaining a 40% stake in the company’s capital and ensuring the continuity of the current management team.
Abreu Advogados’ legal advice covered all stages of the operation, including support in the legal due diligence process, as well as the structuring and negotiation of the transaction, including the drafting and negotiation of preliminary agreements, the purchase and sale agreement, the shareholders’ agreement and all ancillary documentation. Abreu Advogados also provided advice on compliance with the closing conditions and coordinated the entire process of completing the transaction, including the execution of the contractual documentation.
This transaction is of strategic importance as it represents Rekeep World’s first entry into the Iberian market. The structure of the transaction, based on the acquisition of a majority stake rather than the entire share capital, aimed to create a long-term strategic partnership with the former shareholder of the company.
The Abreu Advogados team was led by Rita Albuquerque (Partner) of the Corporate and M&A Team of Abreu Advogados, assisted by Francisco Estácio (Senior Associate), and Matilde Carvalho e Cortinhal (Associate). The deal also involved the cooperation of a multidisciplinary legal team, including Sofia Silva e Sousa (Partner), Susana A. Duarte (Partner), and Sara Ferraz Mendonça (Partner), assisting, respectively, on labour, tax and real estate related matters.
