Advokatfirman Vinge, DLA Piper, Gernandt & Danielsson, And Cleary Gottlieb Steen & Hamilton Guided Asahi Kasei's $1.1 Billion Bid For Calliditas Therapeutics
Advokatfirman Vinge, DLA Piper, Gernandt & Danielsson, and Cleary Gottlieb Steen & Hamilton are advising on Asahi Kasei’s $1.1 billion proposal to acquire Calliditas Therapeutics.
Tokyo-based Asahi Kasei has put forward the offer to purchase all shares of the Swedish pharmaceutical company, aiming to establish it as a wholly owned subsidiary.
Gernandt & Danielsson and Cleary are acting as Legal Advisors to Asahi Kasei. Cleary's team, led by Partner Kim Spoerri, Includes Partners Adam Brenneman and Benet O’Reilly.
Advokatfirman Vinge (Swedish counsel) and DLA Piper (International Counsel) are providing Legal Advice for Calliditas.
The offer encompasses the acquisition of all American depositary shares, each representing two shares in Calliditas, and will be conducted under US securities regulations.
The acceptance period for the offer is expected to begin around July 18 and conclude around August 30, with the possibility of extensions.
