BCLP Advised The Gund Company On Acquisition Of The Composites Division Of The Von Roll Group
BCLP advised The Gund Company on acquisition of the Composites Division of the Von Roll Group
International law firm BCLP advised The Gund Company, Inc. (“TGC”) on the acquisition of the Composites Division of the Von Roll Group. The transaction includes manufacturing sites in Augsburg (Germany) and Bradford (UK). The transaction has been completed following the granting of the required foreign investment clearance by the Federal Ministry for Economic Affairs and Energy in Germany.
TGC is a U.S.-based manufacturer of high-performance composite materials for electrical insulation and industrial applications. The acquired companies specialize in the production and processing of industrial composite materials. The division will be integrated into TGC’s global operations under the brand VRI Composites - A Division of The Gund Company.
Tonio Sadoni, Partner at BCLP, said, “This transaction highlights the regulatory requirements involved in cross-border acquisitions. We are pleased to have supported The Gund Company in its first acquisition in Germany and the UK.”
BCLP advised TGC on all legal aspects of the transaction, including due diligence, structuring, contract negotiations, and the filing and completion of the foreign investment review in Germany.
