Debevoise & Plimpton Advised Wilsonart To Acquire Virginia Tile’s Woodworking Segment
The business includes the distribution of decorative surfaces, cabinet accessories and functional hardware
New York-based law firm Debevoise & Plimpton LLP has counseled Wilsonart Engineered Solutions, an engineered surfaces company, in its acquisition of Virginia Tile’s woodworking business.
The acquired operations are headquartered in Kansas City, Kansas, with branches in Tulsa and Oklahoma City, Oklahoma; Wichita, Kansas; and Springfield, Missouri.
Tymon Moore, the vice president of sales at Wilsonart, remarked, “The acquisition complements the company’s culture and enhances the services offered in these territories. We look forward to increasing the distribution network and being able to bring our ever-expanding portfolio of engineered surfaces to an even wider audience.”
The woodworking division has been a prominent part of Virginia Tile’s portfolio. However, the firm’s flooring and woodworking operations have limited synergy.
After over 50 years of association, Virginia Tile considered Wilsonart ideal to lead the division into its next phase of growth and viewing its commitment to best-in-class distribution in the market.
Founded in 1928 by the Stephenson Family, Virginia Tile is a leading provider of porcelain, ceramic, stone, glass, metal and mosaic design solutions for the wholesale building supply industry.
As part of the transition, Randy Burton will join Wilsonart as general manager of the acquired portfolio, ensuring a smooth experience for employees and customers.
Burton stated, "I am excited to embark on this next chapter as part of Wilsonart and am confident its team and customers will thrive with the expanded resources and expertise.”
The Debevoise & Plimpton team was led by M&A counsel John Love and partner Uri Herzberg.
It included associates Emily Espinel and Jason Zhang, employee benefits and executive compensation associate Gregory Kramer, tax associate Harshil Mehta, IP and technology transactions counsel Tigist Kassahun and associate Katelyn Bryant, real estate associate Hymie Anteby and environmental counsel Stuart Hammer.
