Freshfields Advised Sanofi On Its Acquisition Of Vigil Neuroscience
Freshfields advised Sanofi S.A. on its pending acquisition of Vigil Neuroscience, Inc., a publicly traded clinical-stage biotechnology company focused on developing novel therapies for neurodegenerative diseases.
This acquisition in neurology—one of Sanofi’s four strategic disease areas—enhances Sanofi’s early-stage pipeline and includes VG-3927, an oral small molecule TREM2 agonist expected to strengthen the neuroprotective function of microglia in Alzheimer’s disease. VG-3927 will be tested in a Phase 2 clinical study in Alzheimer’s disease.
The Freshfields team was led by partners Jenny Hochenberg, Kristen Riemenschneider, and Jonathan Zhou, and included Max Sanders (Senior Associate), along with associates Joyce Yeo, Evan Yoo, Gabe Carolan, and Charlie Carroll. Life sciences advice was provided by Madeleine Tavcar (Senior Associate), Laura Zhu, and Juliana Zhang. Employment and benefits matters were handled by Nicole Foster (Partner), Jeffrey Anand (Senior Associate), and Jordan Riley. Tax advice was provided by partners Steven Matays and Sarah Katz, supported by Joshua Critchlow (Senior Associate). On data privacy and security, the team comprised Christine Lyon (Partner), Brock Dahl (Partner), and Christine Chong (Senior Associate). Antitrust and CFIUS issues were managed by Mary Lehner (Partner), Charles Ramsey (Special Counsel), Christine Laciak (Special Counsel), and associates Kaylynn Moss and Andrew Gabel. Real property matters were advised by Jeremiah Nelson (Counsel) and Kate Koudona (Associate).
