Freshfields Represents General Atlantic To Reorganize Shareholding In NuCom Group

Freshfields Represents General Atlantic To Reorganize Shareholding In NuCom Group
The implementation is subject to the sale of its portfolio company Verivox
Multinational law firm Freshfields has advised General Atlantic to reorganize its shareholdings in European omnichannel platform NuCom Group and dating service provider ParshipMeet Group.
General Atlantic is a leading global growth equity firm providing capital and strategic support to companies with high growth potential.
The transaction comprises the sale of General Atlantic´s shareholdings to ProSiebenSat.1, the transfer of treasury shares and exit participation upon future divestment of the ParshipMeet Group.
The implementation is subject to the sale of NuCom Group’s portfolio company, Verivox.
General Atlantic will hold its minority stake in luxury retailer Flaconi directly through NuCom Group, unlike the present indirect form.
In 2018, General Atlantic and ProSiebenSat.1 entered a long-term partnership, enabling the NuCom Group to leverage General Atlantic's expertise and resources to become a leading European omnichannel platform for consumer services and lifestyle brands.
The Freshfields Munich team was led by Partners Wessel Heukamp (Corporate/M&A), Christian Sistermann (Tax), Counsel Simon Stepper (Corporate/M&A), and Associate Marc Lebioda (Corporate/M&A).
