Goodwin Advised Bridge Bio in $632.5 Million Convertible Senior Notes Offering Due 2033
The Goodwin Life Sciences team advised BridgeBio Pharma, Inc. (“BridgeBio”) on the sale of $632.5 million aggregate principal amount of 0.75% convertible senior notes due 2033 in a private offering to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. The notes included $82.5 million aggregate principal amount sold to the initial purchasers in the offering. Goldman Sachs & Co. LLC, Cantor Fitzgerald & Co., TD Securities (USA) LLC, Evercore Group L.L.C., Mizuho Securities USA LLC and Piper Sandler & Co. acted as initial purchasers for the offering.
BridgeBio used a portion of the net proceeds from the offering to repurchase shares of its common stock and intends to use the remaining net proceeds to settle future conversion obligations in respect of or repay at maturity a portion of its convertible senior notes due 2027, and for general corporate purposes.
