HEUKING Advised Berlin-based EdTech Start-Up Cleverly On Its Acquisition Of Complori
HEUKING advised Berlin-based EdTech start-up Cleverly on its acquisition of Complori
The large, independent German law firm, HEUKING advised Cleverly edu GmbH, a Berlin-based EdTech start-up, on its acquisition of Complori (codary GmbH). Cleverly is a leading platform for individual online tutoring, personal development, and soft skills for children and young people. Complori complements this offering with playful group courses on digital skills for the future, including programming and financial literacy.
With this acquisition, Cleverly expands its range of services: in addition to individual 1:1 mentoring and tutoring, the company will now also offer live group courses that teach children programming, financial literacy, creativity, and critical thinking.
The acquisition was preceded by two capital increases through the issuance of new shares at a nominal value of one euro each, bringing the total share capital to EUR 82,794. Investors include Cologne-based Capnamic Ventures Fund III GmbH & Co. KG, which will become the largest shareholder.
The Cleverly team was legally advised by a HEUKING team led by Dr. Patrick Müller, LL.M. (VC) (Partner, Düsseldorf). HEUKING regularly advises start-ups and VC investors on various VC financing rounds and acquisitions.
HEUKING (Heuking Kühn Lüer Wojtek) is one of the largest independent commercial law firms in Germany, not a global one. The firm consciously chose to remain independent to guarantee its own autonomy and that of its clients, rather than merging into a large, globally integrated entity.
