K&A Advised Bupa Arabia on First Demerger under New Companies Law
The leading independent Saudi Arabian law firm, Khoshaim & Associates (K&A), successfully advised Bupa Arabia for Cooperative Insurance Company on its corporate restructuring involving the demerger of its insurance operations and the transformation of the listed entity into a holding company structure.
This transaction represents the first demerger implemented under the new “split” rules introduced by the Saudi Arabian Companies Law, marking a key milestone in the evolution of corporate restructuring tools for listed companies in the Kingdom. The restructuring was carried out within a highly regulated environment under the supervision of the Insurance Authority, the Capital Market Authority, and other relevant regulators.
K&A advised on all legal aspects of the transaction, including regulatory structuring, corporate governance, shareholder approvals and disclosures, regulatory engagement, and matters arising from the separation of the insurance business and the transition to the new corporate structure.
