Kadir Andri & Partners Advised Sentral REIT on Disposal of Wisma Sentral Inai
The premier Malaysian law firm, Kadir Andri & Partners is pleased to have acted as legal counsel for Sentral REIT in the successful disposal of Wisma Sentral Inai for a substantial cash consideration of RM135 million.
The transaction faced significant challenges after Turiya Berhad’s proposed acquisition was overwhelmingly rejected by its shareholders—95.9% of votes cast were against it. The team implemented a strategic approach, including a robust remedial mechanism in the Sale and Purchase Agreement (SPA) to revive the transaction, setting it apart from standard SPAs that lapse if certain conditions precedent are not met.
Through careful negotiation between the purchaser and vendor, the team successfully activated the remedial mechanism and completed the transaction on January 13, 2026.
