King & Spalding Is Representing Aditya Birla Group In Its $125 Million Acquisition Of AluChem

King & Spalding is representing Aditya Birla Group in its $125 million acquisition of AluChem
King & Spalding is representing Aditya Birla Group (ABG) in its definitive agreement to acquire AluChem Companies Inc., a North America-based specialty alumina producer, through ABG’s flagship metals entity Hindalco Industries Limited, for an enterprise value of $125 million. The transaction is expected to close in the upcoming quarter.
AluChem, with over 45 years of legacy, supplies high-performance calcined, reactive, and tabular aluminas used in industrial applications such as refractories, ceramics, and electronics. It operates across three facilities in Ohio and Arkansas.
Hindalco is a USD 28 billion metals powerhouse and the world’s largest aluminium company by revenue. A key part of the Aditya Birla Group, it also stands as India’s largest copper producer and a global leader in flat-rolled aluminium products through its subsidiary Novelis.
The King & Spalding team representing Hindalco includes Rahul Patel (Partner), John Hyman (Partner), Baylie Evans (Associate), Eric Nyman (Associate), Austin Whan (Associate) and Jessi Bartholomew (Associate) on M&A matters. The benefits team includes Sam Choy (Partner) and Nell Schiller (Associate); the antitrust team includes Jeffrey Spigel (Partner), Salomé Cisnal de Ugarte (Partner) and Brian Meiners (Partner). The CFIUS team comprises Philip Ludvigson (Partner) and Adam Harper (Associate). On environmental matters, Les Oakes (Partner) is advising. Jack Fontham (Partner) is advising on insurance. The international trade/export controls team includes Michael Taylor (Partner), Christine Savage (Partner), Aaron Stephens (Associate) and Christopher Hyner (Associate).
The IP team includes Scott Petty (Partner) and Laura Huffman (Associate); the labor team includes Jesse Pauker (Partner), Sydney Lampard (Associate) and Matthew Krimski (Associate).
