Sidley Advised On Klaviyo’s Secondary Public Offering

Sidley advised on the underwritten public offering by Klaviyo, Inc., involving 6,500,000 shares of its Series A common stock in the United States. The offering was undertaken by certain existing stockholders, with Barclays acting as the underwriter.

In addition, the selling stockholders granted the underwriter a 30-day option to purchase up to an additional 975,000 shares. The offering is expected to close on August 21, 2025, subject to customary closing conditions.

Sidley represented the underwriter in the transaction.
