Cyril Amarchand Mangaldas advised APG Strategic Real Estate Pool N.V. on Lemon Tree Hotels demerger and Fleur Hotels listing

The leading law firm in India Cyril Amarchand Mangaldas advised APG Strategic Real Estate Pool N.V. (“APG”) in connection with a proposed strategic re-organisation involving Lemon Tree Hotels Limited (“Lemon Tree”). Under the scheme of arrangement, Lemon Tree is set to demerge its hotel assets into Fleur Hotels Limited (“Fleur”), resulting in the listing of Fleur.

As part of the transaction, Coastal Cedar Investments B.V., an affiliate of Warburg Pincus LLC, is proposed to acquire the entire 41.09% equity stake held by APG in Fleur. The transaction is subject to customary conditions precedent and regulatory approvals, including approval from the Competition Commission of India.

The Cyril Amarchand Mangaldas team was led by Ruetveij Pandya (Partner) and Molla Hasan (Partner), with support from Abhilasha Malpani (Principal Associate), Mansi Avashia (Associate), Kajal Singhvi (Associate), Sanskruti Kulkarni (Associate) and Karshin Malik (Associate).
