A&O Shearman advised underwriters on Steel Dynamics’ USD 800 million senior notes offering

The global law firm, A&O Shearman represented the underwriters in connection with a registered offering by Steel Dynamics, Inc. of USD 650 million aggregate principal amount of 4.000% Senior Notes due 2028 and USD 150 million aggregate principal amount of 5.250% Senior Notes due 2035. The 5.250% Senior Notes due 2035 consisted of a further issuance of the notes originally issued on March 12, 2025.

Steel Dynamics is a leading industrial metals solutions company with facilities across the United States and Mexico. Operating under a circular manufacturing model, the company produces lower-carbon-emission, high-quality products using recycled scrap as the primary input. Steel Dynamics is one of North America’s largest domestic steel producers and metal recyclers, with a substantial downstream steel fabrication platform. The company is also investing in aluminum operations to diversify its product offerings, including aluminum flat rolled products with high recycled content for the beverage can, automotive, and industrial sectors, while maintaining a commitment to safety, efficiency, and operational integrity.
