The Global Law firm, Dentons advised NMC Healthcare Group, a leading integrated private healthcare provider headquartered in the UAE, and Elegant Medical Center Oman (EMC) on the sale of their Omani businesses to Tawoos Group.

The transaction involved the divestment of two hospitals and six clinics/aesthetics centres across Oman. This strategic divestment enables NMC Healthcare to focus on its core UAE operations, where it manages over 180 entities, employs approximately 11,000 staff, and provides healthcare services to more than five million patients annually. The transaction also aligns with Tawoos Group’s vision to enhance healthcare services in the Sultanate.

Sadaf Buchanan (Partner, Dentons) said, “It has been our privilege to support NMC in alignment with the Tawoos Group. Working closely with NMC and its financial advisers, Deloitte, we were able to structure a deal that satisfied the strategic objectives of NMC while addressing the interests of creditors, employees, and patients. The transaction reflects Dentons’ deep understanding of the healthcare sector and our expertise in multi-jurisdictional restructuring matters.”

Christopher Habib (Chief Strategy Officer, NMC Healthcare) said,“We are pleased to complete this important milestone in NMC's strategic journey. The acquisition of NMC Oman by Tawoos Group was a key step in optimising our portfolio to support investments in the UAE, while ensuring a strong future for our patients and teams in Oman. This outcome was made possible through the dedication and collaboration of our advisers, including Dentons.”

The Dentons team advising on the transaction was led by Sadaf Buchanan (Partner), with support from Jamie Gibson (Partner), Dali Al Habboub (Partner), and Yaqdhan Al-Busaidi (Associated Partner). They were assisted by senior associates Michael Kneebone, Fatma Al Amri, and Fatima Al-Sabahi; associates Malaak Al Balushi and Abdullah Al Busaidi; and trainee Mohammed Al Farsi. The multidisciplinary team spanned banking and finance, restructuring, litigation, and corporate law practice areas to successfully execute this complex, multi-asset transaction.
