DLA Piper Africa, Kenya (IKM Advocates) advised Dhamana Guarantee Company Limited on USD 20 million contingent capital facility from GuarantCo

The global law firm, DLA Piper, operates in Kenya through its key member firm, DLA Piper Africa, Kenya (IKM Advocates) acted as borrower counsel to Dhamana Guarantee Company Limited in connection with a USD 20 million (KES equivalent) Contingent Capital Facility provided by GuarantCo. The transaction supports Dhamana in delivering local currency guarantees and mobilising long-term, sustainable infrastructure financing across the region.

The facility, with a 23-year tenor, strengthens Dhamana’s balance sheet in a non-dilutive manner and significantly expands its capacity to issue long-tenor local currency guarantees. This enables Dhamana to mobilise domestic institutional capital into sustainable, Paris-aligned infrastructure projects while deepening local capital markets in Kenya and East Africa.

The DLA Piper Africa transaction team was led by Norah Mutuku (Partner), advising on review of the Facility Agreement, security documents, and general borrower counsel matters.

This partnership allows Dhamana to scale operations, attract private capital where it matters most, and leverage over 20 years of GuarantCo’s experience in building guarantee markets in emerging economies, contributing to climate-resilient and inclusive growth in the region.
