DSK Legal advised CMA CGM on Strategic Partnership with Stonepeak Partners

The leading law firm in India, DSK Legal assisted and advised CMA CGM S.A., the world’s third-largest container shipping group, on the Indian law aspects of its strategic partnership with Stonepeak Partners LP, a leading alternative investment firm specializing in infrastructure and real assets.

Under the terms of the agreement, Stonepeak acquired a 25 percent minority stake in United Ports LLC for USD 2.4 billion. The transaction further includes a commitment of up to USD 3.6 billion in additional investment, making it one of the most significant infrastructure transactions in the global maritime sector. The total deal value stands at USD 6 billion.

The transaction establishes United Ports LLC as a consolidated platform comprising 10 strategically located port terminals across six countries. These include Los Angeles Fenix Marine Services and Port Liberty terminals in New York and Bayonne in the United States; Santos terminals in Brazil; CSP Valencia, CSP Bilbao, Terminal Maritima del Guadalquivir, and TTI Algeciras in Spain; Nhava Sheva Freeport Terminal in India; CMA CGM Kaohsiung Terminal in Taiwan; and Gemalink in Cai Mep, Vietnam.

In India, the transaction includes the Nhava Sheva Freeport Terminal at Jawaharlal Nehru Port, Mumbai, which is the country’s first deep-draft automated container terminal. This terminal plays a critical role in enhancing India’s container handling capacity, operational efficiency, and global trade connectivity.

DSK Legal advised CMA CGM S.A. on various Indian law aspects of the transaction, including conducting legal due diligence, advising on the implications of global consolidation for Indian operations and corporate structures, advising on key government and security approvals and clearances, and providing guidance on rights and obligations under the relevant project and financing agreements.
