The Global Law firm,: Heuking Kühn Lüer Wojtek advised ICF BANK AG Wertpapierhandelsbank, Frankfurt am Main, on the capital increase of UmweltBank Aktiengesellschaft, Nuremberg. The transaction comprised a rights issue for cash, utilizing authorised capital. The offering was based on an “Annex IX document” replacing a prospectus under Regulation (EU) 2017/1129 and supplemented by a private placement of unsubscribed shares (rump placement).

The capital increase was managed by ICF BANK AG Wertpapierhandelsbank as sole global coordinator. ICF BANK AG and M.M.Warburg & CO (AG & Co.) KGaA acted as joint bookrunners. ICF BANK AG also acted as the indirect subscription agent, coordinating the technical execution. The subscription period ran from 1 September to 17 September 2025, followed by the rump placement on 18 September 2025.
