Sidley Advised Advanced Power on US$1 Billion Sale and Strategic Partnership with ArcLight Capital Partners

The global law firm Sidley has advised Advanced Power, a leading independent power developer and asset manager of innovative power infrastructure, on its acquisition by ArcLight Capital Partners (ArcLight).

The investment and partnership include an initial US$1 billion equity commitment from ArcLight to build new power infrastructure, with the potential to invest more than US$5 billion of equity over the next five years to enable over 20 gigawatts (GW) of new power capacity and accelerate North America’s AI and data center infrastructure growth.

Advanced Power’s late-stage U.S. power projects currently include 12+ GWs of conventional and renewable generation and 10+ GWs of energy storage projects. The partnership combines Advanced Power’s extensive development expertise and strategic industry relationships with ArcLight’s existing 26 GW operating power portfolio and capabilities across power, renewables, batteries, transmission, strategic gas, and digital power. Together, the combined development portfolio becomes one of the largest in the United States — enough to power over 11 million homes.

The Sidley team advising on the transaction was led by Noreen Phelan (Partner), Jeff Kinney (Counsel), Chaim P. Theil (Partner), and Tara Higgins (Partner), with support from Hagai Zaifman (Partner), Lauren Gallagher (Partner), Marcela Varela (Senior Managing Associate), J.D. Swancoat (Managing Associate), Charlie H. Peskin (Associate), and Jonathan R. Litsey (Managing Associate).
