Simpson Thacher & Bartlett LLP advised Bayview AssetSimpson Thacher advised Bayview on $1.3B all-cash acquisition of Guild Holdings Co. Management in connection with its definitive agreement to acquire Guild Holdings Co., a nationally recognized independent mortgage lender, in an all-cash transaction valued at approximately $1.3 billion in aggregate equity value.

As part of the transaction, Guild shareholders will receive $20.00 per share, plus a special dividend of up to $0.25 per share prior to closing. Upon completion of the deal, Guild will operate as a privately held independent entity, closely aligned with Lakeview Loan Servicing, LLC, a leading mortgage servicer and an affiliate of Bayview.

Guild Holdings Co. services a residential mortgage portfolio exceeding $94 billion, while Lakeview Loan Servicing handles more than 2.8 million customer accounts in the U.S.
