Clifford Chance Advised Nordic Aviation Capital On Acquisition By Dubai Aerospace Enterprise
Global law firm Clifford Chance has advised Nordic Aviation Capital (NAC) on its acquisition by Dubai Aerospace Enterprise (DAE). As part of the deal, DAE will acquire 100% of NAC’s outstanding share capital in a transaction valued at over US$2 billion, including outstanding debt. The acquisition has received approval from more than 85% of NAC’s shareholders and remains subject to regulatory approvals and customary closing conditions.
NAC, a leading global player in regional aircraft leasing, has expanded its portfolio to include larger narrowbody aircraft, leveraging its advanced asset management capabilities. As of December 2024, NAC’s fleet consisted of 233 owned and committed aircraft, leased to around 60 customers across 40 countries.
Clifford Chance’s legal team was led by Corporate Partner Nicholas Rees and Aviation Finance Partner Richard Evans, with support from Senior Associates Antonio Folgore, Chelsea Bruk-Jackson, Lara Attarzadeh, and Reiss Guiness, along with Associates Alice Butcher, Dorothy Adu-Mfum, and Jeremy Pui.
Tax aspects of the transaction were managed by Partner Edward Page and Senior Associate Paul Harrington.
Antitrust advice was provided by Partner Richard Blewett, Counsel Chandralekha Ghosh, and Associates Ilya Stekunov and Asli Kural.
Employment matters were handled by Partner Chinwe Odimba-Chapman and Senior Associate Alistair Green.
Real Estate aspects were advised on by Partner Matt Taylor and Senior Associate Alice Raine.
This transaction marks a significant step in the aviation leasing industry, reinforcing DAE’s position as a key player in the global aircraft leasing market.
