The leading law firm in India, Cyril Amarchand Mangaldas (CAM) is acting as legal counsel to QSR Asia Pte. Ltd. and Restaurant Brands Asia Limited (“Company”) in relation to the acquisition of a controlling interest in the Company by Lenexis Foodworks Private Limited, the food and beverage arm of Inspira Global.
The proposed transaction involves:
- (a) Sale of an 11.26% stake for approximately INR 460 crore by the existing promoter and promoter group entities, namely QSR Asia Pte. Ltd. and F&B Asia Ventures (Singapore) Pte. Ltd.;
- (b) Proposed infusion of nearly INR 1,500 crore through subscription to equity shares and warrants of the Company by way of a preferential issue; and
- (c) Triggering of an open offer, with an aggregate consideration of up to INR 3,416 crore.
The Cyril Amarchand Mangaldas transaction team advising QSR Asia Pte.
