DSK Legal Advised BRLMs on Proposed IPO of Hotel Polo Towers Limited

The leading law firm in India, DSK Legal, acted as domestic legal counsel to Equirus Capital Private Limited and Motilal Oswal Investment Advisors Limited (together, the “Book Running Lead Managers” or “BRLMs”) in connection with the proposed initial public offering of Hotel Polo Towers Limited (the “Company”).

The IPO comprised a fresh issue of equity shares aggregating up to INR 23,000 million and an offer for sale of up to 7,120,030 equity shares by the Selling Shareholders – Kishan Tibrewalla, Prem Tibrewalla, Deval Tibrewalla, and Kishan Tibrewalla HUF. The Draft Red Herring Prospectus was filed with SEBI on September 28, 2025.

DSK Legal assisted in:

  • Conducting due diligence;
  • Reviewing the Draft Red Herring Prospectus;
  • Drafting consent letters, auditor certificates, and standard certificates from all parties;
  • Drafting the Offer Agreement and letters of indemnity for the registrar and ad-agency agreements;
  • Reviewing the registrar and ad-agency agreements; and
  • Conducting due diligence calls with relevant parties.
