Eminent Electricity Distribution Limited, a wholly owned subsidiary of CESC Limited under the Kolkata-based RPSG Group, has been advised on the acquisition of Chandigarh Power Distribution Limited by Khaitan & Co.
Dibyanshu (Partner) and Srijita Jha (Senior Associate) constituted the transaction team while Haigreve Khaitan (Senior Partner) provided strategic inputs. Transfer of assets, liabilities, power purchase agreements and personnel to Chandigarh Power Distribution Limited constituted the acquisition process while ensuring continuity of employee service terms. Notably, the reserve price was surpassed by EEDL's investment of ₹871 crore.
Plans are afoot to modernise the electrical infrastructure and provide reliable 24x7 power supply. The RPSG Group is also committed to increasing the share of green energy in its supply, aligning with Chandigarh's sustainability goals. Consumer tariff determinations will continue to be overseen by the Joint Electricity Regulatory Commission (JERC), ensuring fairness and transparency in pricing.
