Khaitan & Co advised Saregama India Limited on Strategic Equity Investment in Bhansali Productions Private Limited

The leading law firm in India, Khaitan & Co advised Saregama India Limited (“Company”) in connection with its strategic equity investment in Sanjay Leela Bhansali’s Bhansali Productions Private Limited (BPPL) through:

• (a) Subscription of 9,960 compulsory convertible preference shares (CCPS) by the Company in BPPL for a consideration of INR 325 crores and the terms of conversion of such CCPS; and
• (b) Further acquisition of additional equity securities of BPPL in multiple tranches for a monetary consideration to be determined under the investment agreement.

The Firm advised Saregama India Limited on structuring, term sheet, diligence, negotiations, and finalization of documents, including the investment agreement, shareholders agreement, music rights agreements, and other ancillary documents.
