The leading law firm in India, Trilegal advised United Hospitality Management (UHM), the global hospitality management arm of United Investments Portugal (UIP), on its strategic entry into the Indian market and its proposed acquisition of Rosaoui Hotelco Private Limited (RosaStays).
UIP, a leading international luxury hotel operator, is entering India through its wholly owned subsidiary, UHM India. As part of its India strategy, UHM India will commence hospitality operations across key leisure destinations, including the management and operation of boutique, mixed-use, and leisure properties. The company also aims to build a substantial pipeline of new hotel and resort developments, strengthening its presence in one of the world’s fastest-growing hospitality markets.
UHM India proposes to acquire 100% of the share capital of RosaStays, a boutique hospitality company that develops, operates, and manages villas, hotels, and experiential stay properties under the “Rosastays” brand. RosaStays has an established footprint across popular leisure destinations such as Goa, Shimla, Nainital, Pushkar, and Kasauli, providing UHM India with an immediate operational platform in the country. The acquisition also supports UHM’s longer-term development pipeline of more than 700 keys, including collaborations with international hospitality brands.
Trilegal advised UIP on all aspects of its India entry, including structuring and operationalisation of its India business platform. For the acquisition, Trilegal advised UHM India on legal due diligence and drafting and negotiation of transaction documents.
