DSK Legal Advised And Represented Sapiens International Corporation NV And Sapiens Technologies (1982) India Private Limited In Connection With The Acquisition Of Automated Workflow Private Limited From Azentio Software Private Limited

DSK Legal advised and represented Sapiens International Corporation NV ("Sapiens") and Sapiens Technologies (1982) India Private Limited ("Sapiens India") in connection with the acquisition of Automated Workflow Private Limited ("Target") from Azentio Software Private Limited.

Sapiens and Sapiens India are engaged in the business of providing insurance software solutions, while the Target specializes in automation solutions primarily for the social services sector, including banking and related areas.

The scope of DSK Legal’s work included:

(i) Reviewing, revising, negotiating and finalizing the share purchase agreement and other ancillary documents related to the transaction;

(ii) Conducting merger control analysis of the proposed acquisition and advising on regulatory approvals and filings before the Competition Commission of India;

(iii) Advising on withholding tax requirements, foreign exchange regulatory filings, stamp duty on share transfer, and dematerialisation of shares;

(iv) Advising on structuring and implementation of the payment mechanism under Indian foreign exchange laws;

(v) Conducting due diligence on the title of shares of the Target;

(vi) Assisting in negotiation and closing of the transaction; and

(vii) Drafting necessary documents and overseeing corporate secretarial compliance.
