The leading law firm in India, Khaitan & Co acted as joint deal counsel on the joint venture between Dixon Technologies (India) Limited and Longcheer Intelligence Pte. Ltd into Dixtel Infocom Private Limited. Post-closing, Dixon Technologies holds 74% and Longcheer holds 26% of the total paid-up share capital of Dixtel.

Dixtel Infocom Private Limited will be engaged in the manufacturing and supply of smartphones, tablets, true wireless stereo devices, smart watches, AI PCs, automotive electronics, healthcare devices, and other related products. The collaboration is expected to introduce key advancements, particularly in Original Design Manufacturer (ODM) expertise, and facilitate the localisation of non-semiconductor sub-component manufacturing in India.

The joint venture was structured under the approval route, with applicable approvals under Press Note 3 of 2020 obtained prior to closing.

The Khaitan & Co transaction team was led by Atul Pandey (Partner) and Arjun Bhagi (Partner), with support from Varun Yadav (Principal Associate) and Mehul Mehta (Associate). The firm advised both Dixon and Longcheer on the structuring, drafting, negotiation, finalisation, and execution of the joint venture documentation, as well as on transaction implementation and closing aspects.
